Terms of Use

These Terms are a legal agreement between you and QuantCore.AI (“we,” “our,” “us”). They govern your use of the QuantCore Learning Hub (the “Learning Hub”) at qntcore.ai and any related applications, content, and services.
By creating an account, accessing, or using the Learning Hub, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you are a school, district, or educator using the Learning Hub on behalf of students, you also agree to our Data Privacy Agreement (“DPA”), which controls in case of any conflict between that DPA and these Terms with respect to student data.
1. Two Types of Accounts
1.1 Direct Consumer Accounts
Adult learners (18+), and teens (13–17) with parental or guardian consent, may sign up directly at qntcore.ai. Direct consumer accounts are governed by these Terms and our Privacy Policy.
1.2 School-Managed Accounts
K–12 schools, school districts, and educational institutions may license the Learning Hub for use by their students and educators under a separate written agreement (a Master Services Agreement and Data Privacy Agreement). When the Learning Hub is accessed through a school account:
- The school is the account holder and controls the account.
- Students, teachers, and administrators are end-users authorized by the school.
- Student personal information and education records are the property of the school and are governed by the school’s Data Privacy Agreement with us, the Family Educational Rights and Privacy Act ("FERPA"), the Children’s Online Privacy Protection Act ("COPPA", where applicable), and all applicable state student-data privacy laws.
- In case of any conflict between these Terms and the school’s DPA with respect to student data, the DPA controls.
2. Who Can Use the Learning Hub
2.1 Direct Consumer Users
- Adult users (18+) may use the Learning Hub for personal financial education without additional consent.
- Teens 13–17 may use the Learning Hub with verifiable parental or guardian consent.
- Children under 13 may not create direct consumer accounts.
2.2 School-Managed Users
- Students of any K–12 grade level (including children under 13) may access the Learning Hub through a school account where the school has provided notice and consent consistent with COPPA, FERPA, and applicable state law.
- Educators, administrators, and other authorized school staff may access the Learning Hub through their school’s license.
- Schools are responsible for verifying user eligibility and obtaining any parent or guardian consents required by their district policy and state law.
2.3 Geographic Scope
The Learning Hub is offered from the United States and is intended for users located in the United States. Use from outside the U.S. is at your own risk and you are responsible for compliance with local laws.
3. School and Educator Obligations
3.1 Authority to Bind
If you sign up on behalf of a school, district, or educational institution, you represent that you are an authorized representative with the legal authority to bind that institution to these Terms and any related agreement.
3.2 Required Notices and Consents
Schools that subscribe to the Learning Hub must:
- Provide notice to parents and guardians of the school’s use of the Learning Hub consistent with FERPA, COPPA, and all applicable state student-data privacy laws.
- Obtain any parental consents required under district policy or state law.
- Designate authorized users and limit access to those individuals.
- Use the Learning Hub solely for the educational purposes for which it is licensed.
3.3 Compliance with Education Privacy Laws
Schools acknowledge that QuantCore.AI acts as a “school official” under FERPA (34 C.F.R. § 99.31(a)(1)) and as the equivalent designation (e.g., “third-party contractor,” “operator,” “service provider,” or “school service provider”) under all applicable state student-data privacy laws. We will use student personally identifiable information only for the educational purposes authorized by the school and consistent with our Data Privacy Agreement.
3.4 Strictest-Standard Compliance
Where applicable laws differ across jurisdictions, we apply the strictest applicable standard to all student data we handle, regardless of where the student is located. This includes notice, consent, security, breach-notification, and data-return requirements.
4. What the Learning Hub Is \u2014 and Is Not
4.1 Educational Purpose
The Learning Hub provides general educational content about financial concepts, markets, investing principles, and personal finance, designed for K–12 financial-literacy curricula and individual adult learning. Lessons, simulations, quizzes, and interactive tools are designed for learning, not for executing real-world trades or investment decisions.
4.2 No Financial, Legal, or Tax Advice
Content on the Learning Hub is general in nature and may not apply to any specific financial situation. We are not a registered investment adviser. We do not provide personalized investment, legal, accounting, or tax advice. Before making financial decisions, consult a qualified, licensed professional.
4.3 No Guarantees of Results
Markets are inherently risky. Past performance discussed in educational materials does not guarantee future results. Any simulated trading or hypothetical scenarios are illustrative.
5. Subscriptions, Licenses & Fees
5.1 Direct Consumer Subscriptions
- Subscription fees are billed in advance on a recurring basis (monthly or annually).
- By providing payment information, you authorize us to charge the applicable fees through our payment processor.
- You may cancel anytime from account settings. Cancellation stops future renewals; it does not retroactively refund prior periods.
- Fees are non-refundable except as required by law.
5.2 School Licenses
- School licenses are governed by a separate written agreement (Master Services Agreement) negotiated with the institution.
- Pricing for school licenses is based on enrollment, term length, and feature scope and is set forth in each MSA.
- Payment terms, renewal terms, and termination rights for school licenses are governed by the MSA, not these Terms.
6. Acceptable Use
All users (consumer and school-managed) agree not to:
- Use the Learning Hub for any unlawful purpose or in violation of any federal, state, or local law.
- Share account credentials, sell access, or allow unauthorized parties to use the Learning Hub.
- Reverse engineer, scrape, copy, or attempt to derive source code from the Learning Hub.
- Upload viruses, malware, or any code intended to disrupt or damage the platform.
- Harass, threaten, or harm other users, particularly minors.
- Misrepresent identity, age, school affiliation, or authority.
- Use automated tools (bots, scrapers, AI agents) without our written permission.
- Use the Learning Hub to provide investment advice or solicit investment business from others.
7. Intellectual Property
7.1 Our Content
All content on the Learning Hub — including lessons, videos, graphics, code, software, logos, and the QuantCore name — is owned by QuantCore.AI or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. Except as expressly permitted by your license, you may not copy, modify, distribute, sell, lease, or create derivative works.
7.2 Limited License to Direct Consumer Users
We grant direct consumer users a limited, non-exclusive, non-transferable, revocable license to access and use the Learning Hub for personal, non-commercial educational purposes.
7.3 Limited License to Schools
Schools and their authorized users receive the license set forth in their Master Services Agreement, which generally permits use within the school for educational purposes during the license term.
7.4 User-Generated Content
If you submit content (notes, comments, feedback, simulation results, etc.), you retain ownership but grant us a worldwide, royalty-free, non-exclusive license to use that content as necessary to operate, improve, and support the Learning Hub. Schools and their students retain ownership of all student work product, and we will not use student work product for any purpose other than providing the Learning Hub to that school.
7.5 DMCA Notices
If you believe content on the Learning Hub infringes your copyright, send a notice under the Digital Millennium Copyright Act, 17 U.S.C. § 512, to: info@qntcore.ai with the subject line “DMCA Notice.”
8. Privacy
Use of the Learning Hub is also governed by our Privacy Policy, and — for school-managed accounts — by the Data Privacy Agreement between us and the school. Our Privacy Policy describes how we collect, use, share, and protect information in compliance with all applicable federal and state privacy laws.
9. Termination
9.1 By You
Direct consumer users may stop using the Learning Hub and delete their account at any time. Schools may terminate as set forth in their Master Services Agreement.
9.2 By Us
We may suspend, restrict, or terminate access if a user violates these Terms or applicable law, or if we discontinue the service. For school accounts, termination rights are governed by the MSA. We will give reasonable advance notice where possible.
9.3 Effect of Termination
Upon termination, the user’s license ends. We will delete or return personal information consistent with our Privacy Policy and any applicable Data Privacy Agreement. Provisions that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
10. Disclaimers
To the fullest extent permitted by law, the Learning Hub is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing. We do not warrant that the Learning Hub will be uninterrupted, error-free, secure, or that any content is accurate, complete, current, or reliable.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the above exclusions may not apply, and you may have additional rights.
11. Limitation of Liability
To the fullest extent permitted by law, in no event will QuantCore.AI, its affiliates, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, or trading or investment losses, arising out of or related to use of the Learning Hub.
For direct consumer users, our total liability for all claims will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred U.S. dollars ($100). For school accounts, liability caps are set forth in the MSA.
Nothing in these Terms limits liability for fraud, gross negligence, willful misconduct, or any liability that cannot be limited under applicable law, including any liability under federal or state student-data privacy laws that cannot be waived or limited.
12. Indemnification
Direct consumer users (18+) agree to indemnify, defend, and hold harmless QuantCore.AI from any claim arising out of (a) misuse of the Learning Hub, (b) violation of these Terms, (c) violation of any law or third-party right, or (d) content submitted. Minors are not required to indemnify us.
Schools’ indemnification obligations, if any, are set forth in the MSA, not these Terms.
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. The Federal Arbitration Act and the federal Electronic Signatures in Global and National Commerce Act govern the interpretation and enforcement of these Terms. Where state consumer-protection or student-privacy laws provide rights or remedies that cannot be waived by contract, those laws apply notwithstanding this choice of law.
13.2 School Contracts
Disputes between QuantCore.AI and a school or district are governed by the dispute-resolution provisions of the applicable Master Services Agreement, not by this Section. Where the MSA is silent, this Section applies.
13.3 Informal Resolution First
Before filing a formal claim, contact us at info@qntcore.ai and describe the dispute. We will try to resolve it within 30 days.
13.4 Binding Arbitration (Direct Consumer Users Only)
If informal resolution fails, claims by direct consumer users will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in New York County, New York, or by video conference.
13.5 Exceptions
Either party may bring an individual claim in small-claims court or seek injunctive relief in court for intellectual property infringement. Nothing prevents you from filing a complaint with a government agency, including the Federal Trade Commission, your state Attorney General, your state Department of Education, or your state Chief Privacy Officer (where applicable).
13.6 Class Action Waiver
To the extent permitted by law, all disputes will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or representative proceeding. If a court finds this waiver unenforceable, the entire arbitration agreement will be void.
13.7 30-Day Opt-Out
Direct consumer users may opt out of the arbitration agreement by emailing info@qntcore.ai within 30 days of first accepting these Terms with the subject “Arbitration Opt-Out.” Opting out does not affect any other part of these Terms.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify users by email and by posting a prominent notice in the Learning Hub at least 14 days before the changes take effect. For school accounts, material changes are also communicated to the school’s designated administrator. Continued use after the effective date constitutes acceptance.
15. Miscellaneous
15.1 Order of Precedence
For school-managed accounts, in case of conflict the order of precedence is: (1) the Data Privacy Agreement (DPA) for matters concerning student data; (2) the Master Services Agreement (MSA); (3) these Terms; (4) the Privacy Policy.
15.2 Entire Agreement
Together with our Privacy Policy, the DPA (where applicable), and any MSA (where applicable), these Terms are the entire agreement between you and us regarding the Learning Hub.
15.3 Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
15.4 No Waiver
Our failure to enforce any right is not a waiver of that right.
15.5 Assignment
Direct consumer users may not assign these Terms. Schools’ assignment rights are set forth in the MSA. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
15.6 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control.
